RECITALS
WHEREAS, [Client] ("Client") wishes to engage the freelance services of [Contractor] ("Contractor") as an independent contractor; andWHEREAS, Contractor is willing to perform such freelance services under the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
ARTICLE 1: SCOPE OF WORK
1.1 Project Description.Freelancer shall perform the following services for Client: [Service description]
1.2 Deliverables.
As mutually agreed upon by the parties.
1.3 Work Location.
1.4 Materials & Equipment.
1.5 Revision Rounds.
Client is entitled to [revisions] round(s) of revisions included in the agreed compensation. Additional revisions beyond the included rounds shall be billed at Freelancer's standard hourly rate.
1.6 Source Files.
Source/working files are not included in this engagement. Client receives final deliverables only.
ARTICLE 2: TERM AND TERMINATION
2.1 Term.This Agreement shall commence on [start date] and shall continue until all services have been completed and deliverables accepted, unless terminated earlier in accordance with this Article.
2.2 Termination Without Cause.
Either party may terminate this Agreement by providing [notice period] written notice to the other party.
2.3 Effect of Termination.
Upon termination, Client shall pay Freelancer for all work completed up to the date of termination.
ARTICLE 3: INDEPENDENT CONTRACTOR STATUS
3.1 Relationship.Freelancer is an independent contractor and not an employee, partner, agent, or joint venturer of Client. Nothing in this Agreement shall be construed to create an employer-employee relationship.
3.2 Tax Obligations.
Freelancer is solely responsible for all tax obligations arising from compensation received under this Agreement. Client will issue an IRS Form 1099-NEC for payments of $600 or more in a calendar year. Freelancer's EIN/SSN is on file for this purpose.
3.3 Benefits.
Freelancer shall not be entitled to any employee benefits including but not limited to health insurance, retirement plans, paid time off, or workers' compensation coverage.
3.4 Control.
Freelancer retains full control over the manner and means of performing the services, including the right to determine the time, place, and method of work, subject only to the deliverables and deadlines specified in this Agreement.
ARTICLE 4: GENERAL PROVISIONS
4.1 Governing Law.This Agreement shall be governed by and construed in accordance with the laws of the State of [State].
4.2 Entire Agreement.
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements.
4.3 Amendments.
This Agreement may not be amended except by a written instrument signed by both parties.
4.4 Severability.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
4.5 Notices.
All notices under this Agreement shall be in writing and delivered to the addresses set forth above.
4.6 Assignment.
Neither party may assign this Agreement without the prior written consent of the other party.
4.7 Dispute Resolution.
Any disputes arising under this Agreement shall be resolved through good-faith negotiation. If negotiation fails, the parties agree to binding arbitration in [State] under the rules of the American Arbitration Association.
