RECITALS
WHEREAS, [Client] ("Client") wishes to engage the services of [Contractor] ("Contractor") as an independent contractor; andWHEREAS, Contractor is willing to perform such services under the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
ARTICLE 1: SCOPE OF WORK

ARTICLE 2: TERM AND TERMINATION
2.1 Term.This Agreement shall commence on ___/___/______ and shall continue until terminated by either party in accordance with this Article.
2.2 Termination Without Cause.
Either party may terminate this Agreement by providing [notice period] written notice to the other party.
2.3 Termination for Cause.
Either party may terminate this Agreement immediately upon written notice if the other party:
- Materially breaches any provision of this Agreement and fails to cure such breach within fifteen (15) days of receiving written notice thereof;
- Becomes insolvent or files for bankruptcy;
2.4 Effect of Termination.
Upon termination, Contractor shall deliver all completed and in-progress work product to Client. Client shall pay Contractor for all services satisfactorily performed through the date of termination.
2.5 Auto-Renewal.
This Agreement shall not automatically renew.
ARTICLE 3: INDEPENDENT CONTRACTOR STATUS
3.1 Independent Contractor.Contractor is an independent contractor and not an employee, agent, joint venturer, or partner of Client. Nothing in this Agreement shall be interpreted or construed as creating or establishing an employment relationship between Client and Contractor.
3.2 No Benefits.
Contractor shall not be entitled to any employee benefits, including but not limited to health insurance, retirement benefits, workers' compensation, unemployment insurance, or paid time off.
3.3 Taxes.
Contractor shall be solely responsible for all federal, state, and local taxes, including but not limited to income taxes, self-employment taxes, and any other taxes arising from Contractor's performance under this Agreement. Client shall issue a Form 1099-NEC to Contractor for compensation paid in excess of $600 in any calendar year.
3.4 Control.
Contractor retains the right to determine the manner and means by which the services are performed, subject to the general scope and timeline set forth herein. Client may not control or direct the details, methods, or processes by which Contractor performs the services.
3.5 EIN / SSN.
Contractor's taxpayer identification number: ***-**-____ (provided for Form 1099 reporting purposes).
ARTICLE 4: GENERAL PROVISIONS
4.1 Governing Law.This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws provisions.
4.2 Entire Agreement.
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements between the parties, whether written or oral.
4.3 Amendments.
This Agreement may not be amended or modified except by a written instrument signed by both parties.
4.4 Severability.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
4.5 Notices.
All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above, or to such other address as either party may designate in writing.
4.6 Waiver.
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or the right to enforce it at a later time.
4.7 Assignment.
Contractor may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of Client.
4.8 Counterparts.
This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.
